We are working with one of Canada’s leading “seven sister” law firms, which is seeking a Debt Finance Lawyer to strengthen their growing lending practice in Toronto, ON. This is a full-time, on-site opportunity for a mid-level lawyer with 2-4 years of experience in debt finance, offering unmatched exposure to high-profile transactions.

Responsibilities

As a Debt Finance Lawyer, you will:

  • Advise lenders and borrowers on complex credit facilities, loan agreements, and other financing transactions.
  • Draft, review, and negotiate a variety of loan documents, including security agreements, term sheets, and covenants.
  • Collaborate with other legal teams and professionals across departments on cross-border transactions and syndicated loans.
  • Ensure all transactions comply with regulatory requirements and industry standards.
  • Manage multiple financing projects simultaneously while meeting tight deadlines.
  • Communicate with clients to provide legal guidance on financing options and address any risks or concerns throughout the process.

Qualifications

To succeed in this role, you’ll need:

  • 2-4 years of experience representing borrowers or lenders in financing transactions.
  • Strong knowledge of debt finance structures and experience with credit agreements, loan facilities, and security documentation.
  • Exceptional drafting and negotiation skills with attention to detail.
  • Strong interpersonal skills to work effectively within a team-based environment.
  • Licensed to practice law in Ontario and in good standing with the Law Society of Ontario.
  • The ability to manage multiple priorities and meet deadlines in a fast-paced setting.
